These terms of use (Terms) govern your use of agriprove.io and all related sites including but not limited to agriprove.com.au, agriprove.com and portal.agriprove.io (Website). Please read these Terms carefully. By using the Website you are agreeing to these terms. You must not use the Website if you do not agree with these Terms.

1. Ownership

The Website and all Content is operated and owned by AgriProve Pty Ltd ABN 35 624 305 371 (AgriProve).

2. Use of Website

You may not use the Website and the Content on the Website for personal purposes unless AgriProve provides express written consent.

You must not:

  • by any means copy, reproduce, republish, adapt, upload, link, post, frame, translate, transmit or distribute any part of the Website or any Content contained on the Website;

  • do anything that imposes an unreasonable or disproportionately large load on the Website, or interferes or disrupts the Website or any network or website connected to the Website;

  • breach the security of the Website, test or scan the vulnerability of the Website, or make any unauthorised modifications to the Website;

  • interfere with any other persons use or enjoyment of the Website;

  • post, or transmit to the Website any abusive, obscene, defamatory, or otherwise inappropriate material;

  • use any robot, spider, scraping device, deep link, or any other automatic tool or algorithm, or any manual process that performs the same function, to copy or use any Content or any part of the Content on the Website, or to reproduce or separately store or use such Content;

  • use the Website or any Content in any way that is unlawful, illegal or breaches the rights of AgriProve or any third party; and

  • use the Website in any way that otherwise breaches these Terms.

In addition to these Terms, AgriProve Privacy policy applies to the Use of the Website and various parts of the Website are subject to other terms and conditions. You should review these other terms and conditions carefully and not use the Website if you do not agree to these other terms and conditions.

3. Third Party Websites

The Website contains links to other web sites controlled by third parties (Third Party Websites). AgriProve is not responsible for any content on Third Party Websites nor does it endorse or approve such websites. If you choose to visit these Third Party Websites you do so at your own risk and should make your own enquiries before relying on any content contained on such Third Party Websites.

AgriProve makes no representations about the quality or accuracy of material available on Third Party Websites, or that such material does not infringe the intellectual property rights of a third party.

4. Intellectual Property

All copyright, data, text, software, images, graphics, trademarks, logos, interfaces, photographs, and other intellectual property (Content) on the Website is owned, controlled by, or licensed to AgriProve. Except for viewing the Content for your own personal non-commercial use, AgriProve does not grant you any rights to use the Website or Content for any other purpose unless it expressly consents in writing.

5. Limitation of Liability

AgriProve does not warrant or guarantee:

  • the accuracy or completeness of any information available on the Website;

  • that access to the Website will be uninterrupted or error free;

  • that any defects will be corrected immediately; or

  • that the Website will be free from viruses or other contamination.

Except where prohibited by law, AgriProve will not be liable to you for any loss, damage, liabilities or claims and expenses that you may suffer due to use of the Website, including use of any information on it. You use the internet and the Website at your own risk.

6. Termination of Use

You may stop using the Website at any time for any reason.

AgriProve reserves the right in its absolute discretion to suspend or terminate at any time the access to the Website of any user without notice for any reason, including but not limited to a breach of these Terms. The suspension or termination shall not affect either party’s rights or liabilities.

AgriProve may disclose any information we may have about a user in relation to an investigation or allegation that your use of the Website is in breach of these Terms, or is in breach of law or other regulation. AgriProve reserves its right to identify or bring legal action against any person who is breaching these Terms, including obtaining injunctive relief.

7. Variation to Terms

AgriProve may vary these Terms at any time, and by continuing to use the Website you consent to any variations. AgriProve will not notify of these variations and it is your responsibility to regularly check these Terms for any variations.

8. Governing Law

These Terms are governed by the laws of New South Wales in Australia, and any dispute in relation to these Terms or your access or use of the Website will be the exclusive jurisdiction of the Courts of New South Wales.

9. Miscellaneous

If any of these Terms are unenforceable or held to be invalid, the offending provision/s will be removed from these Terms and the amended Terms will remain in force.

Any failure by AgriProve to act or enforce these Terms immediately will not be considered a waiver of AgriProve right to take any such action.

Privacy Policy

AgriProve Pty Ltd (AgriProve) is committed to protecting the privacy of your personal information. This privacy policy explains how AgriProve manages the personal information that we collect, use and disclose, and how to contact us if you have any further queries about our management of, or would like to request access to, your personal information.

Personal information is information or an opinion, in any form and whether true or not, about an individual whose identity is apparent or can reasonably be ascertained from the information or opinion.

Collection of Personal Information by AgriProve

AgriProve will only collect personal information about you by lawful and fair means and not in an unreasonably intrusive manner. The types of information we may collect include:

a. Identifying and contact information (for example, name, address and email address);

b. If you register an account with us, information to assist in the administration of carbon creation projects.

We collect personal information to provide you with the products and services you request, as well as information on other products and services offered by us. We may also be required by law to collect some personal information.

Where possible, we will collect personal information directly from you or a person authorised to provide this information on your behalf. Should we collect your personal information from a third party, we will take reasonable steps to ensure that you are made aware of this.

If you do not provide personal information requested of you to AgriProve, we may be unable to provide you the products or services you have requested or contact you in the future.

Use and Disclosure of Personal Information by AgriProve

AgriProve will only use or disclose your personal information as permitted under the Privacy Act 1988 (www.oaic.gov.au).

We will use your personal information to:

a. Maintain, update and service your account with us;

b. Maintain, administer and improve our systems;

c. Improve our website, including to modify it to your usage, history and preferences; and

d. Carry out reporting and administration services as directed by you and/or discussed with you from time to time.

If you provide your email address, you consent to AgriProve using your email address to contact you for the purposes listed above.

In order to properly conduct our activities, we may disclose (with your consent where necessary) personal information to other persons or organisations. Such persons and organisation include:

a. Our service providers (such as IT service providers, soil sampling providers and soil regeneration providers); and

b. Other parties to whom we are authorised or required by law to disclose information.

Data Quality and Security

To the extent required by the Privacy Act, AgriProve will take reasonable steps to:

a. Make sure that the personal information we collect, use and disclose is accurate, complete and up to date;

b. Protect the personal information that we hold from misuse and loss and from unauthorised access, modification or disclosure; and

c. Where permitted by law, destroy and permanently de-identify personal information that is no longer needed for any purpose that is permitted by the Privacy Act.

Access to and Correction of your Personal Information

Please contact AgriProve if you would like to seek access to or correct the personal information we hold about you. AgriProve will generally provide you with access to your personal information if practicable and will take reasonable steps to amend any personal information about you which is inaccurate or out of date.
